General Terms and Conditions of Sale

This Internet site, http://www.daxon.com, (known as the "Website") is published by MOVITEX, a S.A.S. with a capital of 41.172.646 euros, having its headquarters at 68, rue Christophe Colomb, 59290 WASQUEHAL – RCS Lille Métropole 756 200 150, and Intercommunity VAT number FR 61 75 6200150, (known as "DAXON").

Communications will be conducted in French or English. The contract may be concluded in either French or English.

Introduction

The present website is only for those persons residing in a country for which there exists no dedicated Daxon website (such as daxon.fr in France). If such a dedicated website exists, a user connecting to daxon.com will be automatically forwarded to the dedicated site for their country.

The following general terms and conditions of sale ("Terms of Service") apply to orders placed on the Site by any physical, private individual ("User"). The "User" and Daxon are hereafter jointly referred to as the "Parties".

The Parties agree that their relationship is governed by the present Terms of Service exclusively. DAXON reserves the right to modify these Terms of Service at any time. The Terms of Service appearing online at the time an order is placed are solely applicable. The contract will deemed to be concluded under applicable civil laws, upon the second order click, by which you have confirmed your shopping cart contents after having had the opportunity to correct them.

DAXON is a member of the FEVAD.

Article 1 - Purpose

The purpose of these Terms of Service is to define the terms of sale between DAXON and the User, from the moment an order is placed to after-sale customer services, including payment and shipping.

Article 2 - Products

The products governed by the present Terms of Service are those which appear on the Site (known as "Products"). These are offered within available inventory levels.

Article 3 - Prices

The prices of the Products are shown based on the currency selected by the User, and include all taxes. They include Value Added Taxes, as well as any discounts applicable at the time the order was placed. The Products are invoiced in Euros

The prices shown are excluding delivery charges (shipping, packaging, and packing, based on currently applicable charges). The delivery charges will be listed on the purchase order before the order is confirmed.

If the User resides outside the European Union customs zone, the order may be subject to customs tariffs and/or taxes (including local taxes), to be collected on delivery and paid by the User.

Daxon is not able to determine the amount of these taxes in advance. The User is kindly requested to contact their country's national customs bureau for further information.

The prices of the Products displayed on the Site are valid for the period during which they appear online.

Should one or several taxes or contributions, such as environmental contributions, be created or modified, increased or decreased, this change may be imputed to the prices of the Products displayed on the Site and on the various sales materials.

In any event, once a User's order has been confirmed, the price cannot be changed.

From time to time, DAXON sends special promotional offers to its customers. Such offers are only valid for their intended recipient. Each offer may be used only once, and may not be sold or transferred.

Article 4 - Orders

4.1 User identification

To place an order, the User must sign in using their email address or customer account number, and their password. If it is their first order, the User must first complete a process to create a customer account as per the instructions on the Site.

In the event the User loses or forgets their password, they may request it be sent to them by visiting their customer account page at https://securepreview.daxon.com/en/authentification.aspx?r=70&s=1 and clicking "Forgot password". The password will be sent to the user at the email address which they provided when creating their account.

4.2 Order saving and confirmation

Once the User has confirmed the order in their cart, they must accept the Terms of Service, select the desired delivery address and method, and lastly, confirm their payment mode. In accordance with legal regulations regarding online contracts, the contract will deemed to have been concluded once you click on the button which allows you to confirm your order after having seen the details of the order and in particular its total price, and have had the opportunity to correct any errors.

Submitting an order implies acceptance of the prices and descriptions of the Products available for sale. Any disputes relative to this point shall be made by the User exercising their right of revocation, or in the context of the legal and/or commercial guarantees listed below, if applicable.

DAXON shall confirm receipt of an order confirmed by the User, by means of an email.

In certain cases, particularly in the event of a lack of payment, incorrect address, or other problem related to the User's account, DAXON reserves the right to block the User's order until the problem is resolved.

Article 5 - Means of payment

The User may settle their purchases:

  • by debit or credit card: Carte Bleue, Visa, Mastercard.
    The User's account will only be debited at the time the available Products are invoiced. In the event some Products are unavailable, the User will only be charged for those Products which are physically dispatched.

    When finalising their order, the User shall provide their bank card number and expiry date. Various authorisation checks are then performed on our servers to prevent abuse or fraud. Daxon performs these operations using the SSL (Secure Socket Layer) protocol, which guarantees a high level of protection. Likewise, all financial transactions and online payments conducted on the Site are fully secured.

    In the event the User becomes aware that their card has been used fraudulently, they are requested to immediately contact the daxon.com customer service at serviceclient@daxon.com or fill out the form on the "Contact Us" page, or call +33 (0)3 28 35 09 69*020 7660 8257*02 620 01 25* Monday to Friday, 10 to 12 a.m. and 2 to 4 p.m. (French time).   • With your PayPal account. On confirming your order, you will be automatically directed to PayPal’s user login page. If you do not already have a PayPal account, you will be able to create one. Once payment has been approved, you will receive confirmation of payment by email.

Article 6 - Delivery

The User selects the country of delivery.

Daxon uses the services of the UPS parcel delivery company to deliver User orders. The User will receive an email informing them that their parcel has left the warehouse.

Standard delivery times are between two (2) and five (5) days. The delivery times shall not exceed thirty (30) days.

The User may track their parcel by clicking on the link provided for this purpose included in the confirmation email which they will have received. They will be directed to the UPS website where they will be asked to enter their parcel tracking number (appearing in that same confirmation email).

The parcel will be delivered to the address provided by the User. A UPS agent will make up to three attempts to deliver the parcel to the User at said address. If these three attempts are unsuccessful, the UPS agent will attempt to contact the User by phone or email. If there is no response from the User within 48 hours, the parcel will be automatically returned to sender.

The €5.95 flat-rate delivery charge covers the costs of packing and transporting the parcel, and is only applied once per order even if the order is delivered in several parcels.

DAXON has chosen Colissimo (the principal post office delivery service) to deliver orders to the overseas locations, at no extra cost. Your parcel will be delivered to your home address by Colissimo, within 2 to 3 days. This period starts when your parcel is handed over to the post office delivery service. Article 7 - Right of cancellation and exchange: “satisfied or your money back” guarantee

You have the right to withdraw from the present contract without giving a reason, within a fourteen-day period.

The cancellation period expires fifteen days after the day when you, or a third party other than the carrier and appointed by you, physically takes possession of the item.

To exercise your right of cancellation, you must inform us [Société MOVITEX, 68, rue Christophe Colomb, 59290 WASQUEHAL FRANCE, customerservice@daxon.com] of your decision to withdraw from the present contract by means of a clear and unambiguous statement (for example, letter sent by post, fax or email). You can use the template cancellation form but this is optional.

To ensure compliance with the cancellation period, you must send your declaration exercising your right of cancellation before the cancellation period expires.

The 10€90 charge for the collection from your home will automatically be deducted from the amount refunded to you for your returned items.

We recommend you use the free returns service where we manage the safe return once you hand items to your UPS courier but you also have the right to return items under the Consumer Contracts (Information, Cancellation & Additional Charges) Regulations 2013 by notifying us that you with to cancel within 14 days following delivery.  If you opt to cancel under the Regulations you must arrange and pay for the return of items and take care to ensure returned items are received undamaged.  Once we receive items we will refund the cost of those items using the method you used to pay.  If you cancel an entire order transaction and the order was delivered by standard delivery we will refund the P&P charge you paid (if any) but you will have paid the return postage.

You have then fifteen days to return an article of your order since you've notified your withdraw (making a total of thirty (30) days maximum to make a return starting the day you've received your last item of the order).

However, if you have not notified your decision, we will accept your return if it is sent within the thirty days following the delivery.

Effects of Cancellation

If you withdraw from this contract, we will reimburse all payments received from you, including delivery costs (but excluding additional costs resulting from the fact that you have chosen, if applicable, a delivery method other than the least expensive standard delivery method offered by us) without excessive delay and, in any event, at the latest fourteen days from the day on which we are informed of your decision to withdraw from the present contract. Reimbursement will be made using the same method of payment as that used for the initial transaction, unless you expressly agree to a different method; in any event, this reimbursement will be at no cost to you.

Article 8 - Guarantees

The Products undergo rigorous quality controls.

However, if despite the great care taken in the production of the Products, a Product should prove to be defective, the User may return it to Daxon, specifying the defect.

The User may claim the applicable consumer legislation in their country of residence which is most favourable to them.

Article 9 - Acceptance and proof

The online submission of a bank card number and the final confirmation of an order, shall in all cases be considered evidence of the totality of said order under the law of 13 March 2000, and shall require payment of the amount committed to for the Products listed on the purchase order.

This confirmation is also deemed as expressly accepting the operations performed on the Site.

The computerised records which are stored in information systems belonging to DAXON and/or its partners in conditions deemed reasonably secure, shall be considered as proof of the communications, orders and payments which have transpired between the Parties.

The contracts concluded on our Site (data related to your order and the Terms of Service effective at the time the order is placed), are archived and preserved for a duration of 10 years. You may access these archived contracts by submitting a request by email to customerservice@daxon.com or by post to the following address: Service Client DAXON, 59 088 ROUBAIX CEDEX 2, France, stating your name, address, and customer account number if possible.

Article 10 - Liability

DAXON shall describe the Products sold on its Site as accurately as possible. However, DAXON shall not be held liable should a failure to fulfil its obligations result from an unforeseeable and insurmountable event caused by a third party, or in the case of force majeure.

Likewise, DAXON shall not be held liable for any inconveniences or damages that are inherent to the use of the Internet, including interruptions of service, outside intrusions, or the presence of computer viruses.

Furthermore, Daxon shall not be held liable for any violation of applicable legislation in the User's country of residence where it has not actively directed its business towards the User through targeted marketing campaigns.

Article 11 - Intellectual property

All the elements making up the Site, both visual and auditory, including the underlying technologies, are protected by copyrights, trademarks or patents. Likewise, the brand names, logos, designs and templates which appear or are used on the Site are the exclusive property of DAXON. Their disclosure may in no way be interpreted as granting any license or right whatsoever to said brand names or elements which are protected by intellectual property rights. Any use of such items shall be considered an infringement of these rights.

Therefore, none of the documents originating from the Site may be copied, reproduced, republished, downloaded, posted, transmitted, or distributed in any way whatsoever.

Nevertheless, a copy of these documents may be downloaded to a computer for the User's personal use and for non-commercial purposes only, on the condition that the User does not modify the information contained therein, and retains all copyright and other intellectual property marks in their entirety. Any modifications to these documents, or their use for any other purposes whatsoever, shall be deemed an infringement of DAXON's intellectual property rights.

Any User having their own Internet website who wishes, for their own personal use, to place a simple hyperlink which leads directly to the home page of the Site, must request authorisation from DAXON. In no case shall such a link imply any affiliation.

On the other hand, any hyperlink which links to the Site using framing or inline linking technologies is expressly forbidden. In all cases, any link to the Site must be removed upon request from DAXON.

Article 12 - Personal information

When an order is submitted, the User's personal information is digitally processed.

The collection of Users' personal information is necessary to the fulfilment of User orders. By providing their email address, the User can receive a confirmation of their order, as well as information from DAXON regarding promotional offers and special events.

The User has the right to access, correct, or oppose the storage of their personal information, by sending a request via email to customerservice@daxon.com, or via post to the following address: DAXON, 59088 ROUBAIX CEDEX 2 FRANCE, stating their name, address, and customer account number if possible.

Furthermore, the User may receive commercial offers from other enterprises or entities through the intermediary of DAXON. When creating their account, the User may request to receive promotional offers from commercial partners. Should the User no longer wish to receive such offers, they may simply send a request to customerservice@daxon.com. The User is hereby informed that this automatic processing of personal information, and specifically the handling of user email addresses, has been declared to the CNIL (Commission nationale de l’informatique et des libertés).

In the course of a visit by a User to the Site, DAXON may store a cookie on the User's computing device. This cookie does not identify the User. Rather, it saves information regarding the navigation of the Site from that particular computing device (pages visited, date and time of visit, etc.), which may be read upon future visits by the User. This information is saved for thirty (30) days. DAXON hereby informs the User that they may block cookies from being saved on their computer by configuring their browser accordingly, under menu items "Tools", "Options".

Article 13 - Applicable law and jurisdiction

The Terms of Service and contracts concluded through our Site, as well as any legal disputes related to these, shall be subject to French law (which provides a high degree of consumer protection), except for legal regulations in the User's country of residence which are more favourable to the User.

In the event an agreement cannot be reached, the French legal authorities shall have non-exclusive jurisdiction to settle the dispute.
